How can I randomly create two non-diagonal matrices that are similar ?

What do you mean by ‘non-diagonal matrices’? What do you want them to be (dimensions, content, datatype)?
What do you mean by ‘similar’?

I have no idea what you mean by this confusing, self-contradicting question, but you might look at the functions rand(), randn(), randi(), and randperm(). If you still need help after that, then read this link and give an example.
