Why do I get an error, "Matlab is not running..." from spreadsheet link EX

I receive this message "MATLAB is not running. Would you like to start matlab? when I try to communicate from excel using Spreadsheet Link Ex 3.2.1 plugin. Yet Matlab is running, and I have made sure that the registry is set to the correct version of matlab. The data transfers correctly, so why the message?
